One of the first steps you must take in the incorporation process is to prepare a certificate or articles of incorporation. Some states will provide you with a printed form for this, which either you or your attorney can complete. The information requested includes the proposed name of the corporation, the purpose of the corporation, the names and addresses of the parties incorporating, and the location of the principal office of the corporation. The corporation will also need a set of bylaws that describe in greater detail than the articles how the corporation will run, including the responsibilities of the shareholders, directors and officers; when stockholder meetings will be held; and other details important to running the company. Once your articles of incorporation are accepted, the secretary of state's office will send you a certificate of incorporation. Where to Incorporate One major decision to make when incorporating involves selecting the proper state of incorporation. You're not required to incorporate in the state where your business operates; you can choose from any one of the 50 states or the District of Columbia.

A corporation is referred to as a foreign corporation in all states except for the state where it is incorporated. If a corporation is transacting business in a state other than where it was incorporated, it may be required to register for a certificate of authority to transact business (also called foreign qualification) in the other state. If a corporation is transacting business and fails to register as a foreign corporation, it may lose access to that state's courts and face tax fines and penalties.

A foreign corporation that registers for a certificate of authority in another state must pay state filing fees for the qualification filing; these fees are typically more expensive than the cost of filing for a domestic corporation. Also, foreign qualified corporations are subject to taxes and annual report fees from both the state of incorporation and the qualifying state. Thus, the actual advantage of incorporating in a state with very low initial filing fees and low corporate income tax is not as great as it appears if your business must still qualify to do business in its state of operations.

About Acrobatic Gymnastics

Acrobatic gymnastics is a spectacular sport – a cross between traditional competitive gymnastics and the type of acrobatics you might see in a circus. The five disciplines are mixed pairs, women’s pairs, men’s pairs, women’s trios, and men’s fours.

It’s thrilling to watch, and while international-level acrobatic gymnasts perform some of the most complex skills you could imagine, beginner and developing gymnasts also get a great deal from the sport too, learning valuable motor skills and how to work together in groups.

Two routines – balance and dynamic – are performed to music on a 12x12m sprung floor, and elements are linked by choreography, tumbling, and gymnastic elements. Acrobatic gymnasts at the highest level are also given the chance to perform a combined routine – a mixture of balance and dynamic elements.

In Great Britain, competitive gymnasts usually compete following the rules of either the:

The balance exercise is all about control. Competitors perform static holds, which could be anything from the top standing on the base’s shoulders, to a one-handed handstand on the base’s arm. These types of moves require strength and control and form the foundation of all other acrobatic gymnastics skills.

Learning to balance at Honiton Gymnastics Club Beginners at Honiton Gymnastics Club begin by discovering how to control their own bodies. They learn fundamental gymnastics skills before moving on to working with partners. Balance moves start off simple, as gymnasts gain trust in each other, then gradually move on to harder and more exciting skills as they become more competent. More time is spent learning the principles of balance when gymnasts are new to the sport.

Balancing on ‘blocks’ ‘Tops’ learn the majority of their handstand moves either on blocks (see below) or on the floor, before transferring the skills onto their bases.

Dynamic exercises include elements that show flight, such as somersaults. The base(s) of a partnership launches the top into the air enabling them complete jumps, shapes, straight and twisting somersaults before either landing back on the floor or being caught bytheir partner(s).

There are five different categories of acrobatic gymnastics, and these involve both men and women. Mixed pair Mixed pairs is the showcase event of acrobatic gymnastics. Imagine Dancing On Ice – but without the ice – and a lot more excitement!

Women’s/girls’ pair Similar to mixed pairs, but the choreography and elements are more suited to performances by two girls.

Men’s/boys’ pair Men’s pairs choose from the same list of elements as mixed and women’s pairs, but they tend to choose less that require extreme flexibility. Also, more balance elements are performed on the base’s head, and the choreography of the routine often has a different feel.

Women’s/girls’ trio Three partners means a wider variety of different balance moves. And with two partners throwing in the dynamic exercise, the top often gets more height to perform more complex somersaulting moves.

Men’s four Men’s four can be the most spectacular event with four men forming a pyramid on top of each other. It’s also the only event where an acrobat has ever performed a quadruple (four) back somersaults.

It turns out my memory of where I got the two small ceramic knives I have so delightfully abused was inaccurate. I actually got them at… Harbor Freight!

If you want to read the tale of how I figured this out, and what the perfect use of ceramic knives is, as I discovered, in the process of figuring out I had bought the knives at HF, read the comment I just posted in reply to a note from X. If not, you know have the date, as well.

So, if you wanna give a ceramic or three a whirl, the prices at HF have dropped about 50% on the two larger knives they sell, and a bit less on the small one. Get a 20%off coupon from your favorite AARP member and get even a better price, unless they are lumped in with welders and are not eligible. (We AARP members get two coupons a month, one in each of the AARP pubs, besides it gives all you kids a reason to call Mom/Dad/Grandparents!)

If you want/need a sharp point on one of the knives, look through the inventory and don’t just grab the one at the front. The two small knives I have don’t have sharp points and I have wished they did a few times. I figured out the QC on the points of these knives is about what you might expect when I bought a couple more, recently, but that’s all I’m gonna say, or I’ll blow the punch line of the ‘5 Myth’ post I just referred you to!


I wonder if Harbor Freight exists in the UK…*checks* sadly, no. :( I will be in North America early next year for a while so I will see about these.

Have you thought about using a coarse diamond stone to put a point on these ceramic knives?

Actually, you can buy some fair to middlin’ diamond sharpeners at HF also, I use the square 4 grit version fastened to a genuine plastic block and housed in the genuine plastic storage container, all for under 10 bucks. The grits include 200, 300, 400, and 600, not very fine grits but they will wear down if you are trying to sharpen anything steel with them. I use diamond sharpener blocks/”stones” for ceramic knife sharpening and for flattening my Japanese water stones. Period. Steel seems to extract the diamonds from the steel plate they are affixed to in no time at all and I have heard that the diamond sharpeners are so hard, they bury themselves, grit by grit, into the very steel they are being used to sharpen until they are broken down or have been fractured and broken the bonding agent which holds them to the base steel plate.

I own 2 DMT diamond plates and both of them went “dull” within a month of using them on reshaping the bevel of knife blades. I still use both of them on my Japanese whetstones but the damage has been done and I have learned a valuable lesson on a couple of levels.

Regardless of price, HF 4 grit thin diamond plates on the square plastic block (less than 10 bucks total) or the high dollar DMT 3/8″ thick solid steel plate in 120 grit to 1500 grit ranges each,(upwards of 80 bucks per plate), if you use the diamond plates for ceramic sharpening, you won’t have as much breakdown of the industrial diamonds as you would using them to rebevel or sharpen anything steel. It may seen crazy but I can vouch, first hand, at having the diamond surface of these hones go “flat” on me in no time at all.
